  • Co-owner consent where the property is jointly held
  • Registration of the agreement and who pays stamp duty

  • Who pays property tax, CAM, society charges and major repairs
  • Sanctioned power load, DG backup hours and diesel billing method
  • Building access hours, weekend and holiday operation
  • Parking slots, allotment numbers and visitor parking
  • Signage rights on the facade, lobby and directory board
  • Assignment or sub-letting rights to group companies

Exit and risk

  • Make-good and restoration scope — photograph the handover condition
  • Force majeure and rent abatement if the premises are unusable
  • Termination on landlord default, sale of property or redevelopment
  • Indemnity, insurance and liability caps
  • Dispute resolution seat, arbitration and governing jurisdiction
  • Right of first refusal on adjacent space for expansion
